Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the GMAT Ninja online course and related services (the “Course” or “Services”). By purchasing or using the Course, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Course.

1. Description of Services

The Course is an online educational program designed to assist users in preparing for standardized tests (including, but not limited to, the GMAT, GRE, and EA).

The Course may include:

  • Pre-recorded instructional content
  • Practice questions and assessments
  • Performance tracking and analytics
  • Optional live sessions (“Office Hours”)
  • Supplementary materials and tools

All Services are provided for informational and educational purposes only.

2. Eligibility; Minors; Third-Party Payments

You must be at least 13 years old to use the Course.

If you are under the age of 18, you may only use the Course with the consent and supervision of a parent or legal guardian.

If a parent, guardian, or other third party pays for your access:

  • that party may receive limited account-related information as reasonably necessary to administer the purchase
  • you remain responsible for compliance with these Terms

3. Account Registration and Security

To access the Course, you must create an account.

You agree to:

  • provide accurate and complete information
  • maintain the confidentiality of your login credentials
  • Improve the course content and user experience
  • promptly notify us of any unauthorized access

You are responsible for all activity occurring under your account.

4. Payment and Access Period

The Course is sold as a one-time purchase.

Upon purchase, you are granted access to the Course for a period of six (6) months from the date of purchase (“Access Period”).

5. Extension of Access

Extensions may be purchased at the sole discretion of the company

  • The extension is offered for a fee determined at the time of purchase
  • The extension begins immediately upon the expiration of the original Access Period
  • Access during the extension period is subject to these same Terms

No free or discretionary extensions will be granted.

6. Refund Policy

You may request a refund if:

  • the request is submitted within fourteen (14) days of purchase; and
  • you have used less than ten percent (10%) of the Course

Usage is determined based on internal metrics, including but not limited to:

  • video engagement (e.g., play count, duration, percentage viewed)
  • quiz and assessment activity

Refunds will not be granted:

  • after the 14-day period
  • where usage equals or exceeds 10%
  • for partial use beyond these thresholds

We reserve the right to deny refund requests where there is evidence of misuse or abuse.

7. License and Permitted Use

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Course for personal, non-commercial use.

You may not:

  • share your account with any other individual
  • transfer or sublicense access
  • reproduce, distribute, or publicly display Course content
  • use the Course for commercial or competitive purposes

This license does not transfer ownership of any intellectual property.

8. Account Sharing and Misuse

Access to the Course is limited to a single individual.

We may monitor account usage for indications of unauthorized sharing.

If we determine, in our sole discretion, that an account has been shared or misused, we may:

  • suspend or terminate access
  • revoke access without refund
  • take additional action as appropriate

9. Intellectual Property

All content provided through the Course—including videos, text, questions, explanations, materials and information provided in live seminars, and platform features—is owned by us or our licensors and is protected by applicable intellectual property laws.

You may not:

  • copy, reproduce, or distribute content
  • create derivative works
  • remove proprietary notices

All rights not expressly granted are reserved.

10. Live Sessions (Office Hours)

The Course may include optional live sessions.

By participating, you acknowledge that:

  • sessions may be recorded
  • recordings may be made available to other users
  • your participation (including username and communications) may be visible or included in recordings

You are responsible for your conduct during these sessions.

11. User Conduct

You agree not to:

  • use the Course in violation of applicable law
  • interfere with the operation of the platform
  • circumvent, disable, or otherwise interfere with any security-related features of the Course
  • create more than one account for use
  • impersonate any person, or misrepresent your identity or affiliation with any person, or give the impression that they are linked to GMAT Ninja LLC, if this is not the case
  • use the Course if we have suspended or banned you from using it
  • attempt to gain unauthorized access
  • engage in abusive, harmful, or disruptive behavior

We reserve the right to suspend or terminate access for violations without a refund.

12. Modifications to the Course

We reserve the right to modify, update, or discontinue any aspect of the Course at any time, including:

  • content
  • features
  • structure or delivery

We are not obligated to maintain any specific content or format.

GMAT Ninja LLC may stop (permanently or temporarily) providing the Course (or any features within the Course) to you or to Users generally and may not be able to provide you with prior notice.

13. Disclaimers

We’ve done our best to design the Course to be clear, practical, and focused on helping you improve how you approach the test.

However, outcomes depend on many variables, including how you use the Course materials, how diligently you prepare, and how you perform on test day. The Course is provided on an “as is” and “as available” basis, and we do not guarantee:

  • test score improvement
  • admission outcomes
  • completeness or accuracy of materials
  • uninterrupted or error-free access

Any results you achieve will depend on how you engage with the Course and your individual circumstances.

14. Limitation of Liability

To the maximum extent permitted by law:

We shall not be liable for any:

  • indirect, incidental, consequential, or special damages
  • loss of data, profits, revenues, or opportunities, whether incurred directly or indirectly
  • Any conduct of any user or other third party on, through, or associated with the product, including, without limitation, any defamatory, offensive, or illegal conduct of other users or third parties.

Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid for the Course.

15. Termination

We may suspend or terminate your access if:

  • you violate these Terms
  • we detect misuse or unauthorized activity
  • required by law

Upon termination:

  • access will cease immediately
  • no refunds will be provided except where required by law

Further, if you stop using the product for more than 365 days, your account may be deleted and GMAT Ninja LLC assumes no responsibility for Content deleted following inactivity.

16. Privacy

Your use of the Course is subject to our Privacy Policy.

17. Changes to These Terms

We may update these Terms at any time.

Continued use of the Course following any changes constitutes acceptance of the revised Terms.

18. Governing Law

These Terms and any action related thereto will be governed by the laws of the State of Colorado without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings, or litigation arising in connection with the Products will be brought solely in the federal or state courts located in Denver, Colorado, United States, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

(ii) Arbitration: For any dispute with GMAT Ninja LLC, you agree to first contact us at support@gmatninja.com and attempt to resolve the dispute with us informally. In the unlikely event that GMAT Ninja LLC has not been able to resolve a dispute it has with you after sixty (60) days, we each agree to resolve any claim, dispute, or controversy arising out of or in connection with or relating to these Terms, or the breach or alleged breach thereof, by binding arbitration. The arbitration will be conducted in Denver, Colorado, United States, unless you and GMAT Ninja LLC agree otherwise. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

(iii) Class Action/Jury Trial Waiver. You agree that by entering into these terms, you and GMAT Ninja LLC are each waiving the right to a trial by jury or to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind relating to the products or these terms.

19. Waiver and Severability

The failure of GMAT Ninja LLC to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
